Limitation of Liability

Scope of Liability

• Our liability is limited to the total cost of services provided
• Complete coverage for development errors and software defects
• Guarantee of correction at no additional cost during support period

Exclusions

• We are not responsible for indirect or consequential damages
• Exclusion of loss of profits or business opportunities
• Force majeure and circumstances beyond our control

Contract Termination

Ordinary Termination

By Either Party

Either party may terminate the agreement with 30 days written notice.

• Delivery of work completed to date
• Proportional billing for services rendered
• Orderly transfer of files and documentation

Payments and Refunds

Payments for services already rendered are non-refundable.

• Final billing within 15 business days
• Refund of unused advance payments
• Complete settlement of pending accounts

Governing Law and Jurisdiction

These terms are governed by the laws of the state of Wyoming, United States. Any disputes related to these terms will be resolved in the competent courts of Wyoming.

Dispute Resolution

• Initial mediation to resolve conflicts
• Binding arbitration if mediation fails
• Exclusive jurisdiction in Wyoming, USA
